Breach of Contract Claims
When you enter into a legally binding contract, (a New Vessel Construction Agreement or a Purchase Agreement for a new or used vessel), Vessel Manufacturers, Dealers, Brokers and Sellers are legally obligated to live up to the terms of your Agreement and the promises they made. If a Manufacturer, Dealer, Broker or Seller makes a claim about the vessel, which you rely on in making your purchase and the vessel does not live up to that promise, the company may be held liable if the claim or promise they made about the Vessel proves to be untrue. There are other forms of breach of contract as well. If one contracting party defaults on their obligations, they may be guilty of breaching your Agreement.
In addition, many Agreements have clauses that set forth what law will be applied when a dispute arises over the Agreement. For example, a client from Florida may purchase a Vessel from a company located in Wisconsin but the language of the contract may provide that the law to be applied in a dispute are the laws governing contracts for the state of California. The laws governing contracts can vary from state to state and which law applies can have an effect on the outcome of your case. Depending on the law of the state being applied, if a party breaches an Agreement and the other party does nothing about it, the breach is deemed “waived”, meaning, you cannot later come back and claim a breach of contract.
